Terms of business
Updated 2 November 2026
1. Scope and the parties
(1) These terms apply to every contract for services you order or request and then commission from St Matthew through stmatthew.co.uk or stmatthew.de. Your contracting party is STM Corporate Group LLC, trading as St Matthew, 8000 Centre Park Drive, Suite 130, Austin, TX 78754, USA (“we”).
(2) Your contract is governed by the version of these terms published at stmatthew.co.uk/terms when it is made. Other terms apply only if we expressly agree to them in writing.
2. Our services
(1) What we do for you is set out in the description on the page of each service or in our quote, as it stands when you order. Examples are the UK Tax Consult, UK company formation, VAT registration and payroll, PLC services, bank introductions and moving to the Channel Islands or the Isle of Man.
(2) We do not give legal or tax advice under the law of any country outside the United Kingdom.
(3) Decisions by authorities, banks and markets, such as HMRC, Companies House, the Home Office, a bank or a trading venue, are theirs alone. We owe careful preparation and coordination, not a particular decision, account, visa or admission, unless the service description expressly promises one.
(4) Timescales on our pages are based on experience and run from receipt of payment and of everything we need from you. Waiting times at authorities and banks are outside our control.
(5) We may use third parties to perform the contract. We remain responsible to you for the agreed service.
3. Orders and how the contract is made
(1) Showing a service on our pages is not yet a binding offer. When you send an order from the cart, you make a binding offer for the services chosen. Before you send it you see the services, the price and the payment method and can correct your entries.
(2) If you pay by card, the contract is made once the payment through Stripe has gone through. If you pay by bank transfer or in crypto, it is made by our order confirmation email, which also gives you the payment details. Services priced on request are commissioned by accepting our written quote.
(3) The contract language is English or the language of the page you order from. We keep a record of your order; the confirmation gives you its details and refers to these terms.
(4) We may decline an order, for instance if the identity checks required by anti-money-laundering rules cannot be completed or we cannot take the matter on. If you have already paid, we refund the full amount.
4. Prices and payment
(1) Prices are those shown, in the currency shown, on the service page or in our quote when you order. Fees of authorities and third-party costs, such as Companies House fees, are passed on without mark-up; the service description says whether they are included.
(2) You pay in advance. Depending on availability you can pay by card through Stripe, by bank transfer in pounds sterling or US dollars, or in USDC or Bitcoin. If you transfer in a currency other than the invoice currency, the order confirmation gives you the amount in your currency.
(3) We start work once your payment has arrived. You receive an invoice by email once it has.
5. Ongoing services
(1) Ongoing services such as payroll or company secretarial work run for the period stated in the service description or the quote.
(2) Nothing renews automatically and we never charge you automatically. Before each renewal we remind you and send a separate invoice. If you do not renew, the service ends with the period paid for, and any obligations we no longer handle become yours or your new provider's. If you move to another provider, we hand over your documents at no extra cost.
6. Consultations
A UK Tax Consult takes place by phone, Zoom or Signal, never in person. Its length and fee are shown on the consultation page. We may check your identity before the call. If we decline your matter before the call, we refund the fee in full.
7. What we need from you
(1) You give us complete and true information and provide documents, signatures and evidence in good time, including what is needed for the identity checks the law requires. You tell us about any material change, such as your address, the shareholders or your tax residence.
(2) We are not responsible for delays or disadvantages caused by missing, late or incorrect information.
(3) You use our services for lawful purposes only. If we have reasonable grounds to suspect money laundering, a breach of sanctions or another unlawful purpose, we may stop work and terminate the contract for good cause. Work already done remains payable. Statutory reporting duties are unaffected.
8. Refunds
(1) We refund the full amount in the cases in clauses 3(4) and 6. Beyond that, fees paid are refunded only by agreement in the individual case.
(2) Fees of authorities and third-party costs we have already paid on your behalf cannot be recovered and are not refunded, except in the case in clause 3(4).
(3) You request a refund in writing through the contact form or by post to our address in clause 1. We refund by the method of your original payment within 30 days of agreeing to it.
9. Termination and notices
(1) Each party's right to terminate a contract for good cause is unaffected.
(2) Notices to us, such as a termination, a refund request or a deadline, go through the contact form or by post to our address in clause 1. We send notices to the email or postal address you last gave us.
10. Confidentiality and data protection
We treat everything we learn about you and your company as confidential. We pass it on only as far as our service requires, for example to authorities and banks, with your consent or where the law requires it. How we process personal data is set out in our privacy notice.
11. Content
Texts, graphics and documents on our pages and in our services are protected by copyright. You may use them for your own purposes and those of your company. Any other use, in particular publication or commercial use, needs our prior written consent.
12. Liability
(1) Our liability is limited to the fee you paid for the service concerned. We are not liable for loss of profit or for indirect or consequential loss.
(2) This limit does not apply to wilful misconduct or gross negligence.
(3) We are not liable for decisions of authorities, banks or other third parties under clause 2(3), provided we have met our own obligations.
(4) These rules also protect everyone we use to perform the contract.
13. Force majeure
If an event outside our control, such as an outage of an authority's systems, a strike or a natural event, stops us from performing on time, our deadlines move by the length of the disruption. If it lasts more than 60 days, either party may terminate the affected contract, and we refund pro rata any service not yet performed.
14. Governing law and disputes
(1) As an American company we are subject to US law alone. All contracts with us are governed by the law of the State of Texas and the federal law of the United States.
(2) Any dispute arising out of or in connection with a contract with us is finally settled by arbitration under the rules of the American Arbitration Association, seated in Travis County, Texas. Each party may bring claims only individually, not in a class or group action. Claims within the jurisdiction of a small claims court may still be brought there.
15. Changes and final provisions
A contract already made keeps the version in force when it was made; the renewal of an ongoing service takes the version published at renewal. If any provision of these terms is invalid, the rest remain in force.
